While the figures of private equity in Africa for 2016 and 2017 show that this industry continues to develop and register as a real tool for financing and transfer of businesses, this book, the first concerning private equity transactions carried out in the countries of the OHADA zone, comes to “accompany” the development of this industry in the region.
Indeed, this book proposes to answer exhaustively the need for “reference” of this industry, and this, thanks to the study of the principal legal stakes of the capital investment in this geographical area.
Based on a chronological plan of this type of investment operations, it allows to follow the various stages by describing the contractual agreements successively concluded (in the context of the negotiation or the realization of the operation – letter of intent, investment protocol, shareholders’ pact, asset and liability guarantees, management package, etc.), while explaining their context and objectives as well as analyzing their content. All in comparison with French law.

Jawad FASSI-FEHRI is currently Legal Director of the Maghreb Bank of Investment and Foreign Trade (BMICE). Previously, he was a lawyer, for more than 12 years, specialized in mergersacquisitions, private equity and corporate law in France, the Maghreb and the countries of the OHADA zone.
